These Terms of Use ("Terms") govern access to and use of the SmileViz website, web application, and related services (collectively, the "Services") operated by SmileViz, LLC ("SmileViz," "we," "us," or "our").

By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference.

1. Who May Use the Services

The Services are intended for:

• Licensed dental professionals
• Dental practices
• Authorized staff of dental practices
• Patients who receive SmileViz simulations through a dental practice

You represent and warrant that:

• You are authorized to use the Services on behalf of a dental practice, where applicable
• You will comply with all applicable laws, regulations, and professional obligations

SmileViz does not provide direct-to-consumer clinical services.

2. Nature of the Services

SmileViz provides an AI-powered dental simulation platform that allows dental practices to generate visual simulations of potential treatment outcomes.

Important clarifications:

• Simulations are visual, illustrative, and informational only
• Simulations are not medical advice
• Simulations do not constitute diagnoses, treatment plans, or guarantees of outcome
• Clinical judgment, diagnosis, consent, and treatment decisions remain solely with the dental practice

SmileViz does not practice dentistry or medicine.

3. Data Roles and Responsibilities

Consistent with the Privacy Policy:

• Dental practices are the data controllers of patient-related data
• SmileViz acts solely as a data processor and service provider
• SmileViz processes patient data only at the direction of the dental practice
• SmileViz does not determine treatment decisions

Dental practices are responsible for:

• Obtaining all required patient consents
• Ensuring lawful use and submission of patient data
• Compliance with HIPAA and other applicable healthcare laws

4. Patient Data and Content

Dental practices may upload or generate:

• Dental photographs and images
• AI-generated dental simulations
• Treatment descriptions or annotations

You represent and warrant that:

• You have obtained all necessary rights, permissions, and consents
• Uploaded content does not violate any law or third-party rights

SmileViz:

• Does not collect patient data directly from patients
• Does not sell or license patient data
• Does not use patient data to train public or consumer AI models

Patient data is handled as described in the Privacy Policy.

5. AI Processing and Limitations

By using the Services, you acknowledge that:

• AI-generated simulations are probabilistic and approximate
• Results may vary from actual treatment outcomes
• SmileViz makes no representations or warranties regarding accuracy or suitability

SmileViz is not responsible for:

• Clinical outcomes
• Patient dissatisfaction
• Treatment decisions influenced by simulations

6. Accounts and Authorized Users

You are responsible for:

• Maintaining the confidentiality of login credentials
• All activity under your account
• Ensuring staff access aligns with assigned roles and permissions

SmileViz may suspend or terminate accounts for misuse, violations, or security risks.

7. Subscriptions, Credits, and Payments

Certain features require paid subscriptions and/or credits.

Key terms:

• One credit equals one AI simulation
• Credits have no cash value
• Credits are non-refundable unless required by law
• Credits may expire based on plan terms
• Subscriptions auto-renew unless canceled
• SmileViz may modify pricing with reasonable notice

Taxes may apply depending on jurisdiction.

8. Acceptable Use

You may not:

• Upload patient data without proper consent
• Use the Services for fraudulent, deceptive, or unlawful purposes
• Reverse-engineer, scrape, or misuse the platform
• Attempt to bypass credit usage or system safeguards
• Use outputs to train competing AI systems

Violation may result in suspension or termination.

9. Intellectual Property

SmileViz owns all rights to:

• The platform
• Software
• Models
• Workflows
• Branding and design

Users retain ownership of their uploaded content, subject to a limited license allowing SmileViz to operate the Services.

No rights are granted except as expressly stated.

10. Third-Party Services

The Services rely on third-party providers (cloud hosting, payment processors, analytics, communications).

SmileViz is not responsible for:

• Third-party outages
• External service failures beyond reasonable control

11. HIPAA and Healthcare Compliance

SmileViz is designed for use in healthcare settings.

• Dental practices remain responsible for HIPAA compliance
• SmileViz acts as a service provider and data processor
• A Business Associate Agreement (BAA) may be provided upon request

Nothing in these Terms constitutes medical advice.

12. Termination

You may stop using the Services at any time.

SmileViz may suspend or terminate access:

• For violations of these Terms
• For security or compliance reasons

Upon termination:

• Access to the Services will cease
• Unused credits may be forfeited
• Data handling will follow the Privacy Policy and legal requirements

13. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

SMILEVIZ DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

14. Limitation of Liability

To the maximum extent permitted by law:

• SmileViz's total liability is limited to fees paid in the preceding 12 months
• SmileViz is not liable for indirect, incidental, or consequential damages

15. Indemnification

You agree to indemnify and hold harmless SmileViz from claims arising from:

• Your use of the Services
• Patient disputes
• Regulatory violations
• Clinical decisions

16. Governing Law

These Terms are governed by the laws of the State in which SmileViz, LLC is formed, without regard to conflict-of-law principles.

17. Changes to These Terms

We may update these Terms from time to time. Continued use of the Services constitutes acceptance of updated Terms.
